  LoadLedger Agreement

LoadLedger is sold as-is. While fuel tax tables will continue to be updated, there is no further development planned for the LoadLedger product.

Smart Trucking Solutions (STS) has committed to providing free email, web-based, and phone support for LoadLedger users who have technical issues (see below) as we have the resources. Note that we do not have access to the LoadLedger code and cannot make changes to the program itself.

Technical issues include:

• Lost serial numbers
• Error messages
• Problems with installation
• Updating databases from previous versions of LoadLedger
• Addressing issues not found in the User Guide or Help

We can provide fee-based training and assistance if you need help setting up or using LoadLedger for your business. We encourage you to use the Help feature within the program or read the User Guide and online Technical FAQ as many of your questions will most likely be answered in one of these sources.

1. LICENSE: By purchasing a serial number, Smart Trucking Software, Inc. ("STS") grants you a license to install and use the software product defined below ("the Program") subject to the terms and conditions set forth in this License Agreement.
      
   
2. COPYRIGHT: The compiled program is owned by Smart Trucking Solutions, Inc. and is protected by United States copyright laws and international treaty provisions. You must treat the Program like any other copyrighted material. You may not copy the program or the documentation which accompanies the Program. This Program is not shareware.
      
   
3. RESTRICTIONS ON USE: The License Agreement allows you to use the Program and one LoadLedger database for your business only. Towards this purpose, you may install and use the Program on a stand-alone computer and/or a portable laptop. Note that the database must be MOVED back and forth between multiple computers. You CANNOT synchronize data if it has been entered into multiple computers simultaneously.
      
   You may not use, copy, or transfer copies of the Program. You may not reverse engineer, decompile or disassemble the Program. You may not sublicense, rent, lease, distribute or assign the Program.
      
   
4. WARRANTY: STS provides no warranty whatsover for copies of the Program. STS does not warrant that the Program will meet your requirements or that the operation of the Program will be error free, or that defects in the Program will be corrected.
      
   THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
      
   
5. LIMITATION OF REMEDIES AND LIABILITY: The remedies described in this License Agreement are your exclusive remedies and STS's entire liability.
      
   IN NO EVENT WILL STS BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING LOST PROFITS, LOST BENEFITS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OF OR INABILITY TO USE THE PROGRAM OR ANY BREACH OF WARRANTY.
      
   
6. TERM: The license will terminate thirty (30) days from the date of installation.
      
7. FEES: No fee is charged during the evaluation period.
      
8. MODIFICATION: No agent, representative, distributor or reseller of LoadLedger products may modify any parts of this agreement.
